Terms of Service

1. Agreement to Terms

By accessing or using Refinari's website (refinari.com), web application (app.refinari.com), and mobile applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. We will provide notice of significant changes through the Service or via email. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

Refinari is a personal knowledge management platform that uses artificial intelligence to extract, organize, and connect insights from content you provide. The Service allows you to process content from various sources including text, YouTube videos, and Reddit threads, transforming them into searchable, interconnected knowledge atoms.

3. Account Registration

  • You must be at least 13 years old (or 16 in the EEA) to use the Service.
  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Submit content that infringes on intellectual property rights of others.
  • Submit content that is defamatory, obscene, or harmful.
  • Attempt to gain unauthorized access to the Service or its systems.
  • Interfere with or disrupt the Service or servers.
  • Use automated systems (bots, scrapers) to access the Service without permission.
  • Reverse engineer, decompile, or attempt to extract source code from the Service.
  • Resell or redistribute the Service without authorization.
  • Use the Service to process content you do not have rights to use.

5. User Content

5.1 Your Content

You retain ownership of all content you submit to the Service ("User Content"). By submitting User Content, you grant us a limited license to process, store, and display it solely for the purpose of providing the Service to you.

5.2 Content Responsibility

You are solely responsible for your User Content and the consequences of submitting it. You represent and warrant that:

  • You own or have the necessary rights to the content you submit.
  • Your content does not violate any third-party rights.
  • Your content complies with these Terms and applicable laws.

5.3 AI Processing

By using the Service, you acknowledge that your content will be processed by artificial intelligence systems to extract insights and generate knowledge atoms. The AI-generated outputs are provided "as is" and should be reviewed for accuracy.

6. Subscriptions and Payments

6.1 Free and Paid Plans

The Service offers both free and paid subscription plans. Free plans have usage limitations. Paid plans provide additional features and higher usage limits.

6.2 Billing

  • Paid subscriptions are billed in advance on a recurring basis (monthly or annually).
  • All fees are non-refundable except as required by law or as explicitly stated.
  • We may change subscription pricing with 30 days' notice.

6.3 Mobile App Purchases

Purchases made through the iOS App Store or Google Play Store are subject to the respective platform's terms and refund policies. Contact Apple or Google for refund requests on mobile purchases.

6.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that time.

7. Intellectual Property

7.1 Our Property

The Service, including its original content, features, and functionality, is owned by Refinari and is protected by international copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial purposes in accordance with these Terms.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • SECURITY OF DATA TRANSMISSION

You acknowledge that AI-generated insights may contain errors or inaccuracies and should be independently verified before relying on them for important decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFINARI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Service interruptions or data loss
  • Errors in AI-generated content
  • Unauthorized access to your account

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Refinari, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Extended period of inactivity

Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable period following termination.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Refinari regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.
